PhotoFresh Terms and Conditions

Photofresh endeavours to provide you with the highest standard of service. All of our scanning, restoration, digital conversion and any other of our services provided are subject to the following terms and conditions. Please read these carefully before submitting your order or quote request. When you place an order with us, or request a quote, you agree to be bound by these terms and conditions. If you have any queries or would like further information as to these terms and conditions, please contact us.

Definitions
“Photofresh” means Photofresh Limited, a duly registered New Zealand company and also refers to the Photofresh website, photofresh.co.nz

“We”, “Us” or “Our” refers to Photofresh. “You”, “Your” refers to you, the customer.

“Order” or “Order Form” means any digital or printed document completed by the customer requesting and authorising Photofresh to commence supply of the services as nominated.

Consent to Receive Electronic Messages
By sending an order or quote request, or contacting Photofresh by email or via the website enquiry form, you agree to receive electronic messages from Photofresh regarding our products and services. In compliance with the Unsolicited Electronic Messages Act 2007, we will not send you messages if you specifically advise us and opt out of receiving electronic messages from us. Please note that we do not send spam emails.

Privacy and Confidentiality
We value your privacy and confidentiality. Photofresh keeps all client materials and digital images in secure storage. None of your information or materials is disclosed or shared with any third parties.

We will hold digital copies of your materials produced as part of the provision of services for a period of 28 days from the date of despatch of the scanned images to you, unless you order the archive service from us, in which case we will retain the digital copies for the period of time nominated.

Copyright
You must not send us any materials for scanning or digital conversion that infringe on the copyright, patent or trademark of any third party copyright that would be a breach of copyright. When you place an order with us, you declare that the materials you are supplying to be scanned are free of copyright or that you are the owner of the copyright or that you have the proper rights and permissions from the copyright owner and that you will indemnify and protect us in full from any actions related to copyright infringement.

We reserve the right to refuse any work that we may reasonably believe to be in breach of copyright, or for any other reason at our discretion.

Payment
When you send us an Order Form, or accept a Quote from us, you agree to pay the charges as outlined for the services you request. Please note that the final charges may vary more or less depending on the actual number and types of materials submitted, or services and products provided. If there is a variance we will notify you.

You agree also to provide your method of payment on the Order Form or when requested by us and we reserve the right not to commence work until such payment method information is received.

Payment will be required in full using the nominated method of payment and funds cleared where applicable before your digital media and originals are returned to you.

Photofresh has a minimum order value for any single order, which is outlined on the Order Form.

Satisfaction Guarantee
At Photofresh we work to achieve the highest quality possible. However, specific results will vary depending on the quality of the original materials. By submitting an Order, you acknowledge this.

If, however, you are not satisfied with the products and/or services you receive from us, you must notify us within 14 days of receipt, in writing, by email or post to the address on our Contact Us page. We will work with you to try and resolve any problems you may have and to settle any issues or complaints quickly and fairly.

We will undertake a review of any issues raised and if the outcome of such review is that there is an issue or defect with the products or services provided, we will, at our sole discretion, endeavour to rectify the defect, provide replacement products or services, or offer you a full or partial refund.

Loss or Damage
Whilst we make all reasonable endeavours to ensure the safety and security of all items sent to us whilst in our possession, and returned to you in the condition in which they were received, if your materials are lost or damaged whilst in our possession, you agree that our liability is limited solely to the actual raw cost of the materials, the value of the services we have supplied to you, or $100, whichever is the lesser and at our sole discretion. You specifically agree that Photofresh will not be liable for any direct, indirect or consequential damages, other than the above.

We are neither liable nor responsible for any materials that are not in our possession. Items lost or damaged whilst being shipped to or from us are the responsibility of the carrier company and are subject to that company's terms.

Delivery Times
Whilst we use our best endeavours to deliver our services within the times specified, there may be occasions where delivery is delayed due to workloads and seasonal variations. If we do experience any delays we will advise you of a revised completion date. You agree that Photofresh is not responsible for any consequential issues arising from late or non delivery of our products or services.

Digital Media
We test all media (CD, DVD, Flash Drive, etc) before despatch. If, however, there is a fault with the media, please return it to us and we will gladly supply a replacement at no charge. If, however, we find that there is no fault with the media, we reserve the right to charge a small fee to recover our costs.

Our media is formatted to play on most computers, except for DVD Slideshows which are intended to play on suitable DVD players. Please note that due to the wide range and capability of computer and DVD players, etc, we cannot accept responsibility for the configuration or performance on any specific equipment.

Indemnity and Liability
By placing an Order for products or services from us, you agree that this is done at your own discretion and risk, and that you will indemnify and hold harmless Photofresh Limited and its partners, subsidiaries, affiliates, officers, consultants, and employees from any and all claims and expenses, including legal expenses, arising from your use of Photofresh products and services.

This includes, but is not limited to, any loss or damage to your photos and materials, except as provided for in the preceding paragraphs, any damage to your computer system or loss of data that may result from the download or upload of any material or digital files, or any other loss, physical, or personal damage, or any other type of damage that may in any way result from the use of our products or services.

Photofresh is neither responsible nor liable for damage, loss, delay or irregularity to persons or property in connection with any third parties over which Photofresh has no control.

Further, we shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, even if Photofresh has been advised of the possibility of such damages.

Applicable Law
These terms and conditions shall be interpreted in accordance with the laws of New Zealand and you agree to submit irrevocably to the exclusive jurisdiction of the courts of New Zealand.

Changes to Terms and Conditions
We reserve the right to change these Terms and Conditions at any time. Any such changes will be posted on the Photofresh website. These terms and conditions are dated December 2010.
